When we have completed our assessment and our proposed
sohtions, we will word with you to choose from among the various structures
available for partnering with ARMSTRONG to optimize your energy system
Options include performance contracting. a wide range of management fee
arrangements, asset purchase or lease. For example, in a typical asset
purchase transaction, ARMSTRONG would purchase the power plant and steam
system assets for book value to incorporate site improvements in production
and distribution, and sell applicable power commodities (steam, electric,
compressed air and chilled water) to you at or below your current total
costs. The advantages of such a transaction for you include:

operations and maintenance (O&M) risk
can be transferred to ARMSTRONG, who is focused on O&M of power systems
